  1. Fair. Probably a bit naive on my part. I’m not an Elon fan, but he’s enough of a troll to go after/compete with these guys presuming TWTR ends up being just a flesh wound.

At what point do these guys' wants and needs start running afoul of the multinationals in Houston or the Joe Lonsdales and Elon Musks of the world and other PE/VC money coming to Texas (Vista, etc.)? The playbook is there to spend a modicum amount of money on local races to get a desired result.

  11. Wow. A quick google search shows that this isn’t just some random team. Oldest and historically most successful Welsh team (although certainly not now), oldest stadium still hosting international soccer, third oldest club in world. Should be fun.

  13. The calculus here is what amount of damages will Twitter’s board get comfortable will make its stockholders happy. It’s not the breakup fee. It’s probably delta between purchase price and current Twitter value. But that’s probably still too rich for Elon to agree to. Elon really fucked himself by breaching the agreement. I think a judge (where they don’t typically like to enforce specific performance, but will) would like to just say there is a pre-agreed reverse breakup fee and make this go away, under presumption debt won’t come through given all the drama. I imagine there is language in agreement that says the RBUF doesn’t eliminate ability to get specific performance but courts will try to find a way to avoid SP if they can. But Elon is clearly in breach, and in breach in a way that arguably affected TWTR value. He is going to lose.

  18. Listened to Pod Save America interview Tim Miller, a gay republican never-Trumper that moved to corporate oppo research when the party left him and still felt cold. He wrote "Why We did It" (NYT article link below), and the conversation was fascinating, if not disheartening because it essentially says all of these people that know better are following the Trump party line simply for their own personal gain and excitement (obv).   19. Elon borked himself by breaching the anti-disparagement clause the day after the deal signed. At the time it's funny, because what is Twitter going to do at that point, sue him to kill the deal? But now that Elon wants out, even if he wanted to terminate, the termination provision is probably not available to him because he himself is in breach. Have not read the agreement, but I understand it's a pretty typical public target merger agreement, and he probably didn't have a great termination right anyway. I'll be interested to see Elon's response, because Twitter went hard in the paint in the complaint. And while Chief Justice Strine wasn't on the complaint for Wachtell, you can hear him on the sideline when you read it.

  22. Chip Roy is interesting. He didn’t support, as I recall, Pence’s ability to override the states on a purely Federalist rationale. Not because he didn’t believe in election fraud. So he has, um, principals? But he is precisely that guy in law school that is in Federalist society that likes to get cute with the constitution to proliferate the idea of “I know racial/gender discrimination seems “wrong,” but it isn’t protected in the constitution, so our hands are tied” thinking that has led us to guys like Thomas and Alito justifying their own evils.
  23. I'm not going to bother spoiler tags since episode came out. I think they are showing a bunch of stuff 7 years after massacre that don't involve Pinkman (senator, AG storming in, Caleb's daughter and wife escaping, etc.). So not all simulation, but, yeah, it leads into a storytelling "mesh" with the simulation to assimilate robot Pinkman. I still wonder if Kristina/Dolores is in a simulation, as opposed to a "park" or "loop". I think she's a simulation writing scripts for the humans which are beamed out on the tower in the real world, directing them where to go. Some dude figured out how to crash it and confront her in the simulation a few episodes back. Perhaps its Bernard et al trying to "unlock" her somehow. If she was in the real world, I'd presume she'd know what that tower was that she keeps painting given the size of it. Also - Hale is essentially Wyatt version of Dolores, right? I can't recall exactly what happened last year after the wreck killed the Hale family and she went completely rogue. But she's Dolores, ultimately.
