Elon Musk: Officially a fraud and piece of shit. Official or unofficial war criminal?

This ordinarily would sound crazy but I feel like Elon was more concerned about winning a popularity contest (the vote) than the money itself.

His plundering Spacex for cash a couple months ago, his plundering of Tesla to achieve the solar company buyout, his refusal to pay debts owed to vendors and employees, plus his disastrous twitter investment leaving him low on cash flow say otherwise.

The vote to move to Texas from Delaware had more votes than reinstating the pay package (which itself had massive approval at 72% reportedly)

If the popularity contest was the stock my interpretation of the difference between the 2 votes is that he lost the popularity contest. Don't forget, he had a 19 percent head start with his own stock. By all accounts however he was absolutely joyous about the stock vote.

It's amazing how many harassment lawsuits were filed over the last twenty years in the tech industry alone, but also not that amazing if you know people in tech.  Elon is merely a byproduct of a much larger disease.

I was just having this conversation today with a friend at lunch. We were talking about how the tech industry needed to be dragged into the era of equal rights long after other industries were already getting their act together.

We were discussing a business dinner back in the late 90's where our SVP gave a speech and talked about the industry being the last bastion of male dominance and there is no place for women here. Sexual harassment was very prevalent and done in the open. 90's tech culture was a boiling pot of proto-incel tech bro stew.

If you view this vote as a referendum on Elon, then Elon is popular with both the Everyman retail shareholder AND institutional (Blackrock, etc.) shareholders who voted for him to keep the money he has earned and deserves. Further they voted for even LESS governance and regulatory oversight by moving to Texas. This judge is handcuffed IMO because of this vote.

I've bolded the parts where you're absolutely wrong.

Happy Father’s Day and have a great weekend!

You too! I should have also bolded "Everyman" considering most non-institutional shareholders don't vote. Also you should totally ponder the equation  X - 19 (Elmo's personal shares to vote, and also subtract his subservient family and board members' stock (a number I don't know) and determine, if you don't count Elmo's own stock and his board/family as proving a ratification of his own popularity, what % of the vote for gifting more stock to Elmo would give him a majority of the vote. Hint: more than 69.

Jalopnik again. JFC the intelligence deficit of cybertruck owners...

Tesla Cybertrucks are known for their penchant for breaking down in strange and unique ways, but this one is an all-timer, and for once it wasn’t technically the truck’s fault. Nope, this all has to do with the owner (if you ignore a design shortcoming).

TikToker Jeremy Judkins has been chronicling his Cybertruck ownership since the day he bought it, and a few days ago he posted a video about how his Cybertruck wouldn’t release his charger, which meant he couldn’t drive it. He thought he could just leave the cord in the bed and it would be fine, but that wasn’t the case — the truck knew it was still connected, so it was immobilized. He then did a little research and found a small access panel behind the tailgate of his truck, removing it and fishing out a cord that acts as an emergency release. After pulling it a few times because of “trial and error” the plug finally unlatched. He then admits that he “may have honestly broke it.”

You’d think that’s where the story would end, but no dice. A day later, Judkins made another post, saying that his Cybertruck wasn’t initially broken, and he just wanted to explain how to get the charger unstuck using an “exaggerated story.” Unfortunately, it is now actually broken. During the “trial and error” phase of pulling the cord, it seems Judkins errored a little bit too hard and broke the emergency release cable.

He said the cable is now loose and has “no give,” which isn’t ideal. Judkins added that it’s no longer pulling on anything, and it isn’t supposed to come out as far as it is – nearly a foot away from the bodywork. At first glance, this seems like it could be a user error from Judkins, but that may not be the case.

He posted an excerpt from the Cybertruck’s owner’s manual that says using the charger manual release could result in damage to the truck, and it should only be used in emergencies. Yikes. The note reads:

“CAUTION: Use the release cable only in situations where you cannot release the charge cable using the usual methods. Frequent use can damage the release cable or changing equipment.”

Judkins hasn’t posted an update for the broken release cord, but if he does we’ll be sure to follow up. Listen, I know the dude wasn’t supposed to use the cable, but I feel like Tesla should have engineered it to work more than one time. I suppose like everything else on the Cybertruck, it was slapped together and not really meant to last.

Maybe it’s just me, but I’m not wanting to buy a car that’s been sitting in a mud and grass field in Dallas while it rains every other day. And the buyers will never know. The cars, not the truck, I wouldn’t buy that pos truck with Jeff Bezos money.

So of course Hoovie bought one, and even shows the rear corner where he cut himself, and mentions that he's worried a little bit about Tesla suing him for trying to sell his Cybertruck to make an example out of him for other owners.  The control arms are fucking dinky.

Anyways...He's having a hard time unloading it.

Where are they going to get the money?  Stock? Tesla has $27 billion in cash.  Their net income last year was $15 billion.

If it's stock, what happens when it dumps it to pay for his other hobbies?

I don't know - people have gotten in trouble for this kind of stuff in the past.  Hell, back in the early 2000s, I was a VP at a tech company, and we didn't have a lot of VPs/senior management - it was a pretty flat org chart so I thought I was pretty bulletproof. I had an in-person team meeting for my American, European, Middle Eastern, and African employees, and I held it in Holland, Amsterdam to be precise, and I took them out to dinner and a theater show in the red light district.  Some of them were a little uptight and I thought it'd be a hilarious prank to surprise them with a live sex show.

Some fucking little shit ratted me out and I was fired as soon as I was back in the US.

This seems like a situation you've had a long time to think about and are still going with the "I did nothing wrong" angle.

Gotta love the commitment and conviction hahaha.

I don’t know why all argue with…*checks surly handout, appendix c, pages 1-19 for list of prior handles*…BeardIP

Quotations from Tesla's proxy statement prepared for the vote state clearly that the vote was in furtherance of the litigation in DE.

Description of Proposal 4: A Tesla proposal to ratify the 100% performance-based
stock option award to Elon Musk that was proposed to
and approved by our stockholders in 2018.

from the proxy statement, bottom of page 84

Quote

While the Company believes that the Ratification should be upheld by a Delaware court, the
Special Committee noted that even a favorable vote by our stockholders to ratify the 2018 CEO
Performance Award may not fully resolve the matter
. The Special Committee and its advisors noted
that they could not predict with certainty how a stockholder vote to ratify the 2018 CEO
Performance Award would be treated under Delaware law in these novel circumstances
.

Professor Stephen Bainbridge of UCLA, one of the top corp governance attorneys in the US, wrote that the litigation will continue and that the pay package, even though ratified yesterday, is vulnerable to be overturned in DE once again, this time on grounds of coercion.

Quote

As I see it, the big problem is that objecting shareholders (more precisely, the plaintiff lawyer who finds a shareholder to act as the representative plaintiff) will have a plausible argument that the vote was not uncoerced.

Elon Musk appears to confirmed and even clarify what can be seen as a threat to Tesla shareholders: give me 25% of the company or I won’t build AI and robotic products at the company, after making clear that the company is worthless without those. ...

More recently, the CEO has not only said that but has also been making moves to ensure that this is the only path for Tesla, like canceling the cheaper Tesla vehicle on the unboxed platform in favor of its upcoming Robotaxi.

That’s why it was really concerning when the CEO suggested that he is “uncomfortable” building AI products at Tesla unless he has “25% control over the company” – something he doesn’t have right now – partly because he decided to sell tens of billions of dollars worth of Tesla shares to buy Twitter.

In effect, one might argue, Musk is threatening to usurp corporate opportunities and to devote even more of his full and attention to his non-Tesla investments. If so, "Delaware decisions recognize that when controllers actually make retributive threats, that fact has legal significance."

Also, while the proposal to incorporate in Texas was ratified, the vote yesterday was held under its Delaware charter.

The show will go on.

It’s probably because he’s officially allowing porn on a site that protects kids, and also probably covers up the bot numbers for advertising purposes.

In the words of my AP Calc teacher in high school, Mr. Yates (who was in a wheelchair because of an accident at NASA [and how he got to teaching at small as Gainesville, I’ll never know]), “you sir, deserve to be shot.”

Mr. Yates was talking about this guy named Kyle who was beyond a fucking idiot but his mom yelled and he got put in the class.

Today, somehow, Kyle works for TD Ameritrade.

Elon = Kyle
