I've done some freelance work in my field and to clients I've used a sales platform that matches freelancers with clients.  Most of the projects are short term, but some have gone on longer. I've got one client that I've been working with for 2 years and we've had an annual contract that renews every year. At this point, we have a good working relationship and see no reason to stop...the problem is the platform keeps a 50% cut of what the client pays.  Both the client and I are in agreement on moving off platform. I could lower my rate a little bit to give this client (it's a non-profit) some savings, but also increase my take. However, there is a buyout clause that is like 50-70% of the annual contract (I can't remember the exact amount off hand).

This year's contract is due to end soon and I'm looking for a way around the buyout clause. I've been contracted as a Sole Proprietor, but am wondering if I get an LLC going if I can contract under the LLC instead of me personally to avoid the buyout clause. Does anyone have any input or advice?

How will the platform know? Unless that company uses the platform for other stuff who cares just go off and do an agreement on your own. 

Do you also use that platform for other work? If so that's an issue. If you are cool never using the platform again just don't worry about it and don't tell anyone how would they know?

I still get a couple of contracts a year through the platform, so I don't necessarily want to burn that bridge. The client most likely wouldn't be utilizing them for other engagements.

Yeah just do a contract on your own and shut the fuck up.

They’re dealing with tens of thousands of contracts monthly, they probably don’t have bandwidth for investigations.

I’d cut them out so quick your nuts would fall off.
